These Terms of Service (the "Terms") govern your use of the website, maintenance plans, and online store offered by Rainwater Exchange, Inc. ("we," "us," or "our"), located at 11803 Oliver Cemetery Rd, Austin, TX 78736. By enrolling in a maintenance plan, placing an order through our store, or otherwise using our services, you ("you," "your," or the "Customer") agree to these Terms.
Please read these Terms before enrolling in a plan or placing an order. By selecting a plan or product, checking the acceptance box at checkout, and completing payment, you confirm that you have read and agree to be bound by these Terms.
Part 1 — General
1.1 Who We Are
Rainwater Exchange, Inc. provides maintenance services for rainwater and water storage systems, and sells replacement parts, consumables, and water storage equipment through our online store.
1.2 Acceptance and Changes
These Terms apply to all maintenance plans and store purchases. We may update these Terms from time to time; the version in effect at the time of your enrollment or order applies to that transaction, and updated Terms apply to future plan renewals and orders on notice.
1.3 Eligibility
You must be at least 18 years old and able to enter into a binding contract to enroll in a plan or place an order.
1.4 Electronic Communications and Acceptance
You consent to receive communications from us electronically, including by email and at the checkout interface, and you agree that electronic acceptance (such as checking an acceptance box or completing a purchase) has the same legal effect as a handwritten signature. We may send service notices, order confirmations, renewal reminders, and similar communications to the email address associated with your account or order.
1.5 Website Use and Intellectual Property
The content on our website — including text, logos, images, product descriptions, and the Rainwater Exchange name and marks — is owned by or licensed to Rainwater Exchange, Inc. and is protected by intellectual property laws. You may use the website for lawful personal and ordering purposes only, and you may not copy, resell, scrape, or misuse the content, interfere with the site's operation, or use it to violate any law or third party's rights.
1.6 Privacy
Our collection and use of personal information is described in our Privacy Policy, available at www.rainwaterexchange/privacy-policy. By using our website, enrolling in a plan, or placing an order, you acknowledge that information is handled as described there.
Part 2 — Maintenance Plans
2.1 The Plans
We offer the following annual maintenance plans for rainwater and water storage systems (your "System"):
Annual — $500/year. One comprehensive service visit per year, including a 10-point inspection, filter and UV lamp replacement, complete system flush, leak detection, and a written service report. Optional mid-year visit and filter change available for an additional $300.
Seasonal — $900/year, billed in four quarterly payments of $225. Four visits per year (quarterly), including everything in the Annual plan plus three additional quarterly inspections, seasonal performance checks, priority scheduling, and a written report at each visit. The Seasonal plan is billed quarterly, and each quarterly payment enables one scheduled visit, so the four visits correspond to four quarterly payments. Optional mid-year filter change available for an additional $200.
2.2 Initial System Inspection
Before your first routine maintenance visit, we may need to schedule a separate inspection to evaluate your System and confirm the correct parts and specifications. If the System is suitable for your plan, we will schedule your first maintenance visit promptly afterward. If the inspection identifies pre-existing conditions, repairs, or modifications needed before maintenance can be performed, we will notify you and provide action steps required outside the scope of your plan.
2.3 Scheduling and Site Access
We coordinate visit dates with you in advance, and timing may be adjusted for seasonal conditions, weather, and operational scheduling. You agree to provide safe, clear, and reasonable access to your System on scheduled dates and to disclose known site hazards. If we cannot access the System through no fault of our own, the visit may be treated as completed or rescheduled at our discretion, and a re-visit fee may apply.
2.4 Your Responsibilities
You agree to keep the System in generally operable condition between visits, promptly notify us of any leaks, contamination, equipment failure, or unusual behavior, and ensure power and water needed to test the System are available during visits.
2.5 What's Included and What's Not
Your plan includes only the services and parts described in Section 2.1, including routine filter and UV lamp replacements. The following are not included and, if requested and performed, will be quoted and billed separately:
Repair or replacement of pumps, tanks, plumbing, controllers, or other major components;
Remediation of contamination or biological growth beyond a routine flush;
Tank interior cleaning beyond a standard flush;
Correction of pre-existing code or installation deficiencies;
Damage caused by misuse, neglect, freezing, storms, or third-party work; and
Any work needed to bring a non-compliant System into serviceable condition.
The maintenance plans cover routine, scheduled service and maintenance only. We do not perform repairs or provide emergency or urgent response under any plan. If your System needs a repair or urgent attention, we can refer you to our network of independent installers. Those installers are separate businesses responsible for their own work, scheduling, pricing, and warranties. Any referral is offered as a convenience, and we are not responsible or liable for the services, advice, or work of independent installers.
2.6 Plan Fees and Payment
The Annual plan is paid in a single annual payment, charged at enrollment and upon each renewal. The Seasonal plan is paid in four quarterly payments of $225; each quarterly payment is charged in advance of, and enables the scheduling of, the corresponding visit. By enrolling in the Seasonal plan, you authorize us to automatically charge $225 to your payment method each quarter (four times per year) until you cancel. We will send a reminder before each quarterly charge, and you may cancel before any upcoming charge at no cost and without penalty. Optional add-ons are charged when selected. Fees for out-of-scope parts, repairs, re-visits, or custom work are billed separately and due upon receipt of invoice unless otherwise agreed in writing. We may adjust plan pricing for any renewal term by providing notice before the renewal date; continued enrollment after that date constitutes acceptance of the adjusted pricing.
2.7 Term, Renewal, and Cancellation
Your plan begins when you enroll and continues for a 12-month term. Plans automatically renew for successive 12-month terms unless you cancel before the renewal date. Before each renewal, we will send a reminder to your email on file noting the upcoming renewal date and the amount to be charged. You may cancel at any time before the next renewal date — at no cost and without penalty — by emailing hello@rainwaterexchange.com, by replying to a renewal reminder, or through any cancellation method we make available. For the Annual plan, cancellation takes effect at the end of the current 12-month term, and you remain entitled to the visit already paid for within that term. For the Seasonal plan, which is billed quarterly, you may cancel before any upcoming quarterly payment to stop further charges; you remain entitled to any visit already paid for, and no further quarterly payments or visits will occur after cancellation. Fees already paid are non-refundable, except where required by law or where we are unable to provide a scheduled service for reasons within our control. We may terminate a plan on notice if you fail to pay, fail to provide site access after reasonable attempts, or if the System is unsafe to service.
Part 3 — Online Store and Product Purchases
3.1 Products and Availability
Our store offers replacement parts and consumables (such as UV lamps and sediment and carbon filters), annual replacement packages, and water storage tanks (collectively, "Products"). Product descriptions, specifications, and images are provided for general guidance and may vary. Products are subject to availability, and we may limit quantities, discontinue Products, or correct listing errors at any time.
3.2 Pricing and Errors
Prices are listed in U.S. dollars and may change without notice. Despite our efforts, a Product may occasionally be mispriced or misdescribed. If we discover an error in the price or description of a Product you have ordered, we may cancel the order and refund any amount charged, or contact you for instructions before shipping.
3.3 Orders and Acceptance
Submitting an order is an offer to purchase. Your order is accepted only when we confirm it and the Product ships. We may decline or cancel any order — for example, due to stock limitations, pricing errors, suspected fraud, or shipping restrictions — and will refund any amount charged for a cancelled order.
3.4 Payment and Seller of Record
Payment is collected at checkout through our payment processor. You represent that you are authorized to use the payment method provided. Applicable sales tax and shipping charges are added at checkout. Rainwater Exchange, Inc. is the seller of record for store orders and is responsible for processing your payment. Certain Products may be fulfilled or shipped directly by our suppliers or manufacturers; in those cases we remain your point of contact, while warranty claims are handled under the applicable manufacturer's terms as described in Section 3.10.
3.5 Shipping, Delivery, and Risk of Loss
We or our suppliers will ship Products to the address you provide. Delivery dates are estimates and not guaranteed; we are not responsible for delays caused by carriers or events beyond our control. Risk of loss and title pass to you upon delivery to the carrier. You are responsible for providing an accurate shipping address and for inspecting Products on arrival; report visible shipping damage promptly so we can assist with a carrier claim. Large items such as water storage tanks may ship by freight under separate delivery arrangements and timelines, which we will confirm with you.
3.6 Recurring Deliveries (Subscriptions)
If you select a recurring delivery option, you authorize us to charge your payment method and ship the selected Products on the recurring schedule you choose until you cancel. Recurring orders renew automatically. At sign-up we will clearly disclose the items, frequency, and amount of each recurring charge, and before each shipment we will send a reminder to your email on file. You may change or cancel a recurring order at any time before the next scheduled shipment — at no cost and without penalty — by emailing hello@rainwaterexchange.com or through your account. Cancellation does not affect orders already shipped or in process.
3.7 Returns and Refunds
The following is a suggested default policy — confirm the specifics you want before publishing.
Unused Products in original, unopened packaging may be returned within 30 days of delivery for a refund of the Product price, less original shipping. You are responsible for return shipping unless the return is due to our error or a defective Product. For health and safety reasons, opened or installed filters and UV lamps are not returnable. Water storage tanks and other custom, made-to-order, or special-order items are non-returnable and non-refundable once production or shipment has begun, except for warranty claims. To start a return, contact us for return instructions before sending anything back.
3.8 Correct Parts and Fitment
We help confirm the correct parts and specifications for your System where you provide accurate System information. You are responsible for confirming that a Product is compatible with your System before ordering and before installation. We are not responsible for parts ordered or installed that are incompatible due to inaccurate or incomplete information you provide.
3.9 Installation and Use
Products purchased for self-installation are installed and used at your own risk. You are responsible for correct installation, for following all manufacturer instructions, and for compliance with applicable plumbing, building, and health codes. Improper installation may affect water safety and may void manufacturer warranties.
3.10 Product Warranties
Products are covered by their manufacturers' warranties, if any, including the manufacturer's warranty applicable to water storage tanks (for example, the 20-year warranty offered on Pioneer Water Tanks, subject to the manufacturer's terms). We pass through manufacturer warranties to the extent permitted but do not independently warrant Products. Except for any applicable manufacturer warranty, Products are sold "as is" to the maximum extent permitted by law.
3.11 Water Storage Tanks and Large Custom Orders
Water storage tanks and other large, made-to-order, or special-order items (each, a "Custom Order") are subject to the following additional terms, which control over any conflicting general store term:
Quotes and deposits. Custom Orders may be quoted individually and may require a deposit or full payment before production or ordering begins.
Lead times and freight. Production and freight delivery timelines are estimates and are arranged separately. You are responsible for ensuring the delivery site is accessible for freight equipment and that the installation site is prepared (for example, a suitable pad or foundation) before delivery.
Inspection on delivery. You must inspect a Custom Order on delivery and note any visible freight damage on the delivery receipt so we can assist with a carrier claim.
Changes and cancellation. Once production or a supplier order has begun, a Custom Order cannot be changed or cancelled, and amounts paid are non-refundable, except for valid warranty claims.
Warranty. Tanks and large equipment are covered solely by the applicable manufacturer's warranty (such as the Pioneer Water Tanks 20-year warranty), subject to that manufacturer's terms and registration requirements.
For Custom Orders, we recommend a separate written quote or sales order confirming price, specifications, deposit, lead time, and delivery terms.
Part 4 — Terms Applying to Plans and Store Purchases
4.1 Water Quality Disclaimer
Our services and Products help support, but do not guarantee, water quality. Rainwater and stored-water quality depends on many factors outside our control, including catchment conditions, environmental contamination, System design, installation, usage patterns, and events between visits or deliveries. We do not warrant or guarantee that water from your System is or will be safe for drinking or meets any particular potability, regulatory, or health standard. You are solely responsible for the use of water from your System and are strongly encouraged to obtain independent water quality testing at appropriate intervals. Nothing in these Terms is a representation that the water is potable.
4.2 Limited Service Warranty; Disclaimer
We warrant that maintenance services will be performed in a professional and workmanlike manner. As your sole remedy for a defect in workmanship, we will re-perform the affected service at no additional labor charge, provided you notify us within 30 days of the visit. Except as expressly stated in these Terms, services and Products are provided "as is," and we disclaim all other warranties, express or implied, including any implied warranties of merchantability and fitness for a particular purpose.
4.3 Limitation of Liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any illness, property damage, or loss arising from water quality or use of water from the System. Our total aggregate liability arising out of or relating to a plan or order will not exceed the amount you paid for the applicable plan (in the prior 12 months) or order giving rise to the claim.
4.4 Indemnification
You agree to indemnify and hold us and our employees, contractors, and suppliers harmless from third-party claims arising out of your use of water from the System, your installation or use of Products, your failure to follow our or a manufacturer's recommendations, or your breach of these Terms, except to the extent caused by our negligence or willful misconduct.
4.5 Dispute Resolution and Arbitration
This clause requires arbitration of most disputes and waives class actions. It is common for consumer terms and generally favors the business, but it is a meaningful choice — you can keep it, modify it, or remove it in favor of court resolution. Have counsel confirm it before publishing.
Informal resolution first. Before starting any formal proceeding, you and we agree to try in good faith to resolve any dispute informally by contacting each other, and to allow at least 30 days to reach a resolution.
Binding arbitration. If a dispute is not resolved informally, it will be resolved by binding individual arbitration administered by a recognized arbitration provider under its consumer rules, seated in or near Travis County, Texas, rather than in court, except that either party may bring an individual claim in small-claims court. The arbitrator decides all issues, except that a court may decide the enforceability of this clause.
Class action waiver. Disputes will be resolved only on an individual basis. You and we waive any right to bring or participate in a class, collective, or representative action.
Exceptions and opt-out. Either party may seek injunctive relief in court to protect intellectual property or stop misuse of the website. You may opt out of this arbitration clause by emailing hello@rainwaterexchange.com within 30 days of first accepting these Terms; opting out does not affect the other provisions.
4.6 General Provisions
We perform services as an independent contractor, and nothing in these Terms creates a partnership, employment, or agency relationship. We are not liable for delays or failures caused by events beyond our reasonable control, including weather, natural disasters, supply shortages, carrier delays, or governmental action. These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules, and any dispute not subject to arbitration will be brought exclusively in the state or federal courts located in Travis County, Texas. You may not assign these Terms without our consent; we may assign them in connection with a sale or transfer of our business. Our failure to enforce a provision is not a waiver of it. Notices to us may be sent to hello@rainwaterexchange.com, and notices to you may be sent to the email associated with your account or order. If any provision is found unenforceable, the rest remain in full force and effect. These Terms, together with any separate written quote or sales order, are the entire agreement between you and us regarding their subject matter.
